One of the most important forms in this context is Form W-8ECI.

What Is Form W-8ECI?

Form W-8ECI (Certificate of Foreign Person's Claim That Income Is Effectively Connected With the Conduct of a Trade or Business in the United States) is a document used by foreign individuals or entities to certify that certain income is effectively connected with a trade or business in the United States (Effectively Connected Income - ECI).

When this form is valid and properly submitted to the payer, the income is generally not subject to the 30% withholding applicable to FDAP income, as such income must be reported and taxed subsequently under the ECI rules.

Important: The W-8ECI does not, by itself, convert income into effectively connected income (ECI). Tax treatment depends on the facts, the structure of the transaction, and the applicable provisions of the Internal Revenue Code.

When is it used?

The W-8ECI is used when a foreign investor or entity receives income that qualifies as directly related income, that is, income tied to a trade or business activity in the United States, as defined by current tax regulations.
